1. Introduction
These Terms and Conditions govern the provision of AI-related services by Mondego AI, the trading name of Howard Whiteson, a self-employed individual registered in Portugal (NIF: 320468321), to clients worldwide.
By entering into an agreement with Mondego AI, you confirm that you have read, understood, and accepted these Terms and Conditions in full.
2. Services
Mondego AI provides a range of artificial intelligence services including but not limited to:
AI voice and SMS database reactivation campaigns
Speed-to-lead AI response systems
AI-powered reputation and review management
Social media AI response and engagement systems
AI live chat implementation and management
The specific services provided to each client are set out in the individual Partnership Agreement or Service Agreement agreed between the parties prior to commencement.
3. Performance-Based Engagements
Where services are provided on a performance basis, the following applies:
No fee is payable unless agreed results are achieved as defined in the Partnership Agreement
Commission rates, deal definitions, and payment triggers are as specified in the individual Partnership Agreement
Mondego AI reserves the right to pause or terminate a campaign if the client fails to fulfil their obligations under the Partnership Agreement, including but not limited to responding to leads, providing database access, or approving campaign materials in a timely manner
4. Client Obligations
The client agrees to:
Provide accurate, complete, and lawfully obtained data for use in campaigns
Ensure all data provided complies with applicable data protection laws in their jurisdiction, including but not limited to the UK GDPR, EU GDPR, and any local equivalent
Appoint a named contact to liaise with Mondego AI on campaign approvals and communications
Respond to requests for approval of campaign materials within three business days
Notify Mondego AI immediately of any complaints, regulatory enquiries, or legal proceedings relating to any campaign
5. Data Protection
Mondego AI takes the protection of personal data seriously.
All personal data processed on behalf of clients is handled in accordance with a Data Processing Agreement agreed separately between the parties
Mondego AI acts as a data processor in respect of client data and the client acts as the data controller
Mondego AI will not share, sell, or use client data for any purpose other than the delivery of the agreed services
Upon termination of an agreement, all client data will be returned or securely deleted as directed by the client
6. Intellectual Property
All campaign copy, scripts, messaging, and marketing materials created by Mondego AI remain the intellectual property of Mondego AI unless otherwise agreed in writing
The client retains full ownership of their database, brand assets, and any pre-existing materials provided to Mondego AI
Neither party may use the other's intellectual property without prior written consent
7. Confidentiality
Both parties agree to maintain the confidential information of the other party in strict confidence and not to disclose it to any third party without prior written consent, except where required by law.
This obligation of confidentiality survives the termination of any agreement between the parties.
8. Payment Terms
Payment terms are as specified in the individual Partnership Agreement
Mondego AI reserves the right to suspend services in the event of non-payment
All fees are exclusive of any applicable taxes, which remain the responsibility of the client in their jurisdiction
9. Limitation of Liability
Mondego AI will use reasonable skill and care in the delivery of all services
Mondego AI does not guarantee specific results from any campaign, except where explicitly stated in a performance-based Partnership Agreement
To the maximum extent permitted by applicable law, Mondego AI's total liability to any client shall not exceed the total fees paid by that client in the three months preceding the event giving rise to the claim
Mondego AI shall not be liable for any indirect, consequential, or special loss, including but not limited to loss of profit, loss of business, or reputational damage
10. Termination
Either party may terminate an agreement by providing thirty days written notice to the other
Upon termination, Mondego AI shall remain entitled to any commissions earned prior to the date of termination
Mondego AI reserves the right to terminate immediately in the event of material breach by the client
11. Governing Law and Jurisdiction
These Terms and Conditions and any agreement entered into between Mondego AI and a client are governed by the laws of Portugal.
Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Portugal, without prejudice to Mondego AI's right to seek interim or injunctive relief in any jurisdiction.
12. Changes to These Terms
Mondego AI reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes. Continued use of Mondego AI services following notification of changes constitutes acceptance of the updated Terms and Conditions.
